Terms and Conditions of ExpertBridge and Council of Experts

Welcome to ExpertBridge. These Terms of Service ("Terms") govern your access to and use of the ExpertBridge platform, website, and services (collectively, the "Platform") operated by Elevatexcel Consulting Private Limited ("Company", "we", "us", or "our"). By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.

1. Definitions

"Client" means any individual or entity that uses the Platform to seek expert consultation services.

"Expert" means any individual who registers on the Platform to provide consultation or professional services to Clients.

"User" means any person who accesses or uses the Platform, including Clients and Experts.

"Services" means the expert matching, consultation facilitation, and related services provided through the Platform.

2. Eligibility

To use the Platform, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into a binding agreement; (c) not be prohibited from using the Platform under applicable laws; and (d) provide accurate and complete registration information.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

4. Platform Services

ExpertBridge provides a platform that connects Clients seeking expert consultation with qualified Experts across various industries and domains. Our services include:

(a) Expert matching and curation based on Client requirements;

(b) Facilitation of consultations ranging from short calls to extended engagements;

(d) Communication tools to facilitate Client-Expert interactions.

5. Payments and Fees

All payments for Services must be processed through the Platform. Clients agree to pay the fees displayed at the time of booking or engagement. Payment terms, including hourly rates or project fees, will be clearly communicated before any engagement begins.

Experts will receive compensation as per the terms agreed upon in their Expert Agreement with ExpertBridge. All fees are exclusive of applicable taxes, which shall be borne by the respective party as per applicable law.

6. Refund Policy

Unless stated otherwise and subject to applicable laws, any purchase of products or services from ExpertBridge or with respect to the Platform is final and non-refundable.

Refunds may be considered at the sole discretion of ExpertBridge in cases of: (a) technical failure on the Platform preventing service delivery; (b) Expert no-show without prior notice; or (c) material misrepresentation of Expert qualifications. Refund requests must be submitted within 7 days of the scheduled consultation.

7. User Conduct

You agree not to:

(a) Use the Platform for any unlawful purpose or in violation of any applicable laws;

(b) Circumvent the Platform to engage directly with Experts or Clients you were introduced to through ExpertBridge;

(d) Misrepresent your identity, qualifications, or affiliations;

(e) Interfere with the proper functioning of the Platform;

(f) Engage in any activity that could harm ExpertBridge, other Users, or third parties.

8. Intellectual Property

All content, trademarks, logos, and intellectual property displayed on the Platform are owned by or licensed to Elevatexcel Consulting Private Limited. You may not use, reproduce, or distribute any content from the Platform without our prior written consent.

9. Confidentiality

Users acknowledge that consultations may involve confidential information. All parties agree to maintain the confidentiality of information shared during engagements and not to disclose such information to third parties without proper authorization.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ExpertBridge and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from: (a) your use or inability to use the Platform; (b) any conduct or content of any third party on the Platform; (c) unauthorized access, use, or alteration of your content or information.

11. Indemnification

You agree to indemnify, defend, and hold harmless Elevatexcel Consulting Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.

12. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. ExpertBridge makes no warranties, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

13. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will cease immediately.

14. Modification of Terms

ExpertBridge reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Chandigarh, India.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Elevatexcel Consulting Private Limited regarding the Platform.
